Job Title: General Counsel
Position Summary:
The General Counsel is the chief legal officer of the organization and is responsible for overseeing all legal matters, providing strategic legal guidance, managing legal risk, ensuring regulatory compliance, and leading the internal legal team and outside counsel. This role plays a key part in shaping corporate strategy and governance.
Key Responsibilities:
- Serve as the primary legal advisor to the CEO, executive leadership, and Board of Directors.
- Provide counsel on legal rights, obligations, and risks in areas such as corporate law, employment, contracts, IP, compliance, real estate, and litigation.
- Ensure compliance with all applicable laws, regulations, and corporate policies.
- Draft, review, and negotiate key contracts, agreements, and other legal documents.
- Oversee litigation and manage relationships with outside counsel.
- Advise on mergers, acquisitions, joint ventures, and other strategic transactions.
- Develop and maintain internal legal policies, procedures, and training.
- Manage corporate governance, including board and shareholder matters.
- Monitor legislative and regulatory developments and assess potential impact on the organization.
- Support risk management and assist in crisis management and incident response.
- Lead, mentor, and develop the internal legal team.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Member in good standing of a state bar (with ability to obtain in-house counsel license if required).
- Minimum [10+] years of legal experience, including prior in-house counsel or law firm experience.
- Deep knowledge of corporate, commercial, employment, and regulatory law.
- Demonstrated ability to lead legal strategy aligned with business goals.
- Strong leadership, communication, and negotiation skills.
- High ethical standards and sound judgment.
Preferred Qualifications:
- Experience in [industry-specific area, e.g., healthcare, tech, finance, manufacturing].
- Prior experience as General Counsel or Deputy General Counsel.
- Understanding of international legal and compliance issues (if applicable).
Working Conditions:
- Hybrid or on-site, with occasional travel required.

- Operate with autonomy while leveraging a proven, value-based pricing model (no hourly billing)
- Drive business development with support from our marketing, ops, and leadership teams
