Job Description

Job DescriptionWe are looking for a skilled and motivated Associate to join our team in Boston, Massachusetts. The ideal candidate will bring expertise in commercial lending, real estate finance, and loan workout transactions. This role offers the opportunity to work in a hybrid environment while contributing to our dynamic and collaborative legal practice.

Responsibilities:
• Draft and review loan documentation in alignment with lender credit approval requirements.
• Conduct due diligence, including necessary searches, and analyze results to ensure compliance.
• Review and negotiate title insurance policies for real estate collateral on behalf of lenders.
• Ensure proper perfection of security interests in personal property collateral under the Uniform Commercial Code.
• Collaborate with borrowers' legal counsel and third parties to negotiate loan agreements.
• Examine and interpret organizational and authority documents related to transactions.
• Prepare and negotiate agreements such as Subordination, Non-Disturbance, and Attornment Agreements for commercial real estate tenants.
• Develop and review zoning and land use opinions for real estate collateral transactions.
• Draft and negotiate participation, syndication, and intercreditor agreements with other lenders.
• Assist in preparing forbearance, loan modification, and settlement documents for loan workouts.• A minimum of 3 years of experience in commercial lending, real estate finance, or loan workouts within a law firm setting.
• Admission to the Massachusetts state bar is required.
• Familiarity with affordable housing and community development is a plus but not mandatory.
• Strong organizational skills with the ability to manage multiple tasks simultaneously.
• Excellent written and verbal communication skills, with attention to detail.
• Demonstrated enthusiasm for a collaborative, team-oriented work environment.
• Willingness to engage in client development activities and grow into a business originator role.
