Corporate & Transactional Paralegal
A well-established national law firm is seeking an experienced Corporate Transactions & Health Care Paralegal to support a busy corporate and health care practice. This role supports attorneys on entity management, mergers & acquisitions, and regulatory matters for clients across health care, life sciences, and related industries.
Key Responsibilities:

Prepare and file corporate and entity documents across multiple jurisdictions

Support M&A transactions, including due diligence, UCCs, lien searches, and closing deliverables
-
Draft closing agendas, manage signatures, post-closing matters, and transaction checklists
-
Maintain corporate records, stock ledgers, minute books, and data rooms
-
Coordinate with government agencies on filings, licensing, and compliance matters
Qualifications:
-
Bachelor’s degree, paralegal certificate, or equivalent experience
-
3+ years of corporate/transactional paralegal experience (law firm preferred)
-
Strong knowledge of entity management and transactional support
-
Excellent organization, communication, and deadline-management skills
