Position Overview
The General Counsel of LGES Vertech reports to the company’s CEO and provides senior management with legal advice on company strategies, contracts, manages the legal function, and directs and oversees the work of outside counsel. The General Counsel is directly involved in complex business transactions in negotiating critical contracts and is responsible for all legal matters on behalf of the company. This is a hands-on, roll up your sleeves position with a small staff of four attorneys and three contract managers.
Primary Responsibilities
- Lead the Legal and Contract teams at LGES Vertech and serve as the main point of contact for complex and significant legal matters across multiple areas including litigation, contracts, employment law, IP etc.
- Draft agreements that minimize risks, maximize legal rights, and assist the team in negotiate complex customer contracts; advise executives on contract status, legal risks and business terms of various deals.
- Serve as the main legal point of escalation and contact for customers, vendors, external counsel, etc.
- Provide legal assistance with global joint ventures, strategic partnership deals, and mergers and acquisitions.
- Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes. Partner with external counsel as required.
- Set internal governance policies, drive compliance and manage external impact.
- Attract, develop, direct, motivate and drive performance from the legal team.
- Keep abreast of legislative changes that may affect the company.

- Ability to weigh in on complex commercial issues; sound business judgment and ability to evaluate risk and make decisions with limited information.
- Overall broad legal knowledge (contract law and negotiation, employment law, corporate governance, etc.).
- Ability to work in a fast-paced environment and operate independently.
- Negotiate complex agreements.
- Assist with risk and dispute management.
- Ability to develop legal strategy and objectives.
Education/Experience
- 15+ years of law firm/in-house experience with at least 10 years in-house desired.
- Possession of a Juris Doctorate issued by a law school accredited by the American Bar Association.
- MA Bar license; others considered subject to obtaining MA Bar in-house authorization.
- Experience in the renewable energy industry is highly desirable.
- Experience working on complex contracts, procurement and transactional issues.
- 5+ years of experience leading other lawyers and contract managers.
Other
- This position is on-site in Westborough, Massachusetts at least four days per week.
- Some travel including international is required.
